Terms of Service

These Terms of Service ("Terms") govern your access to and use of UnionWork(TM) CaseFlow ("Service"), operated by UnionWork(TM) CaseFlow ("we," "us," or "our"). By registering for or using the Service, you agree to be bound by these Terms.

1. Eligibility and Accounts

The Service is intended for use by labor unions, union locals, labor councils, and their authorized representatives. You must be at least 18 years of age and authorized to enter into agreements on behalf of your organization. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2. Subscription and Payment

• Monthly Plan: $50/month per workspace, billed monthly. Cancel anytime.
• Annual Plan: $600/year per workspace (equivalent to $50/month), billed annually.
• Additional Seats: $15/seat/year for rep seats beyond the included base.
• Payments are processed securely via Stripe. We do not store payment card numbers.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

3. Acceptable Use

You agree to use the Service only for lawful purposes related to labor union administration, grievance management, and case tracking. You may not:

• Share your login credentials with unauthorized individuals outside your organization
• Attempt to access other subscribers' workspaces or data
• Use the Service to transmit illegal, harassing, or defamatory content
• Reverse engineer, copy, or resell any portion of the platform
• Use automated scripts or bots to interact with the Service
• Use the Stewie AI feature in violation of the applicable AI provider's terms of service

4. Data and Privacy

All case data and member information you enter into the Service belongs to your organization. We do not sell your data. Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Intellectual Property

The UnionWork(TM) CaseFlow platform, including its software, design, and branding, is proprietary to us and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription. No ownership rights are transferred.

6. Stewie AI Feature

The Stewie AI feature ("Stewie") operates using your own API key from Anthropic, OpenAI, or Google. By using Stewie, you acknowledge that: (a) AI-generated content is provided for informational and drafting assistance only; (b) AI output should be reviewed by a qualified union representative before use in official proceedings; and (c) we are not responsible for errors, omissions, or reliance on AI-generated content.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or unforeseen events may cause temporary downtime. We will provide advance notice of scheduled maintenance when practicable.

8. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total cumulative liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may export your data within 90 days, after which it will be permanently deleted per our data retention policy.

11. Modifications

We may modify these Terms at any time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations.
